ARTICLE 1 THE CLUB

Section 1:
The official name of the club shall be "The Central Mass Wanderers Inc. 
Section 2:
Monthly meeting will be held on the first Wednesday of every month at 7:00PM at a location to be determined by the Board of Directors. The Board may, if needed for special reasons, change the date and/or time of the meeting.
Section 3:
The official club color is gray. The word Member will only be allowed on gray official wear.

ARTICLE II PURPOSE OF THE CLUB

Section 1:
The purpose of the Central Mass Wanderers is to encourage the collection of vintage cars and two-wheel drive pick up trucks and to enable the members to share information relating to the preservation, restoration or purchase of vintage vehicles and to practice good fellowship.

ARTICLE III MEMBERSHIP

Section 1:
The term MEMBER shall include:
A.  Any person or persons of a household sharing expenses and duties of that household.
B.  Any children of that household or any child under the legal guardianship of that household who doesn’t hold a valid drivers license shall be deemed an Associate Member.
Section 2:
MEMBERS shall be allowed to vote in all Club business. An Associate Member will have no voting privileges.
Section 3:
A.  Members shall have at least one valid drivers license per household and own a car or two wheeled drive pick up truck that is 1972 or older.
B.  Any new member joining the Central Mass Wanderers, Inc. must have a car or two-wheel drive pick up truck that is registered and able to pass a State Inspection.

Section 4:

A. To become a member of the Central Mass Wanderers, Inc. a prospective member shall fill out a Club application form, submit a picture of their vehicle(s) and a copy of either their registration or title to the Club (PO Box 93). Upon doing so a prospective member shall be deemed an applicant as described in Article III, Section 4B. Applications will be reviewed and approved for membership by the Board of Directors at the next Board meeting. The applicant shall be notified at the next meeting.
B.  A prospective member is any person expressing interest in becoming a member. They may attend up to two monthly meetings.

Section 5:

Each member shall be deemed a member of the Corporation and as such a Corpritor and shall have all the rights and privileges available under M.G.L.C. 180 as members or corporators of a Corporation.

Section 6:

The term charter member will be considered a person who is an original member of the Club with uninterrupted service. The following Members are considered to be CHARTER MEMBERS: Doug Hutchinson, Glenn Roberts, Richard Thibeault, & Wayne Zuidema. Charter Members are exempt from paying dues.

ARTICLE IV DUES

Section 1:
New Club members shall pay a $40.00 one-time initiation fee plus annual dues prorated to April 1st . Club dues shall be $25.00 per year due on April 1st.
Section 2:
AFTER A 30 DAY GRACE PERIOD the Board of Directors will CONSIDER assume Members who fail to pay their dues TO NO LONGER BE CLUB MEMBERS. by April 1st shall be considered new members if the dues are not paid after a 30 day grace period, and shall be responsible for the initiation fee. TO BE REINSTATED THE TERMS AND CONDITIONS OF ARTICLE III SECTIONS 3 AND 4 MUST BE MET.

ARTICLE V CLUB OFFICERS

Section 1:
The Officers of the Club shall be a President, Vice President, Secretary and Treasurer. Remaining members shall be considered The Board of Directors.
Section 2:
The President shall perform the following duties and have such power, in addition to the following, as the Board shall designate. The President shall preside at all meetings of the members and the Board of Directors. It shall be the duty of the President, and he or she shall have the power to see to it, that all orders and resolutions of the Board are carried into effect. If any officer is ill or otherwise unable to attend the monthly meetings for an extended period of time, the President shall have the authority to fill that vacancy from the membership until that officer returns. In the event an officer vacates his/her office permanently, before his/her term is up, the President shall nominate a replacement with club approval.
Section 3:
Vice-President - In the absence or disability of the President, the vice President shall have the duties and powers of that office. In addition, the Vice President shall assist and represent the President as the need arises, or as the President shall delegate. The Vice Presidential duties shall include managing club By-laws and policing infractions.
Section 4:
The Treasurer shall keep full and accurate accounts, receipts and disbursements and an inventory of assets in a book belonging to the Club and shall deposit all monies in the name and to the credit of the Central Mass Wanderers Inc. The Treasurer shall give a full treasury report at each monthly meeting.
Section 5:
The Secretary shall have the duty to certify all votes and proceedings of meetings of the Board and of the full membership. Minutes of these meetings shall be recorded in books, belonging to the Club, kept for such purpose. Minutes of these meetings shall be made available to full membership.
Section 6:
The Membership Chairperson shall have the duty and responsibility of handling club applications for membership, membership cards and dues. They shall also be responsible for maintaining an up to date list of names, addresses, phone numbers and type of car of each member on a quarterly basis.
Section 7:
The Board of Directors is all members of the club and are responsible for the property, affairs and business of the club.
Section 8:
Terms of office shall be for one year and begin immediately following the December election.

ARTICLE VI ELECTIONS

Section 1:
At the November meeting members may nominate candidates from the floor. A member may accept the nomination for only one office in a given year.
Section 2:
A candidate must be a member in good standing in the Club for six (6) months and have attended four (4) meetings before being eligible to run for office.
Section 3:
A member must attend a minimum of four monthly meetings as a member in good standing to be eligible to vote in the December elections. The Board of Directors will review exceptions to this By-law.

ARTICLE VII COMMITTEES

Section 1:
A chairperson shall be elected or appointed for every special club event, such as club dances, cruises, parades, etc. That person shall be responsible for all arrangements associated with that event and shall delegate tasks to their committee. The chairperson shall inform the Board before hand on the progress of the committee and coordinate with the Board on any expenditures or major changes in original plans.
Section 2:
Official club functions are the Spring and Fall Cruises and two other functions. Any other function the Club participates in must be approved by a majority vote of the membership.

ARTICLE VIII REMOVAL OF MEMBERS

Section 1:
The Board of Directors may for just cause review the performance of all members.

ARTICLE IX BY-LAW OR POLICY CHANGES

Section 1:
If any member has a grievance, suggestion, bylaw amendment or suggested new bylaw it shall be presented at the next meeting in writing.
Section 2:
Bylaw changes require two-thirds vote by the membership present at the monthly meeting.
Section 3:
Any idea for a club activity by a member is welcome and open for discussion at monthly meetings. If brought to a vote, a simple majority is all that is required.

ARTICLE XI BEREAVEMENT POLICY

Section 1:
In case of the death of a member and/or an Associate Member a $50.00 donation will be presented to the family in the name of the Club.

ARTICLE XII CORPORATION

Section 1:
Central Mass Wanderers, Inc. shall be organized as a Massachusetts Corporation with an annual meeting of the Corporation and Board of Directors scheduled in December of each year.
Section 2:
The President may execute all contracts, agreements or other documents necessary to effectuate any act of the Corporations or vote of the Corporation or Board of Directors.
Section 3:
Upon a two-thirds vote, the Corporators may authorize any change in the articles of organization and may authorize the officers and/or Board of Directors to execute any and all agreements, notices, certificates, forms or other documents necessary to effect such change.

ARTICLE XII FISCAL YEAR

Section 1:

The fiscal year shall end on November 30th of each year, and the Board of Directors shall cause an Annual Report of financial condition to be prepared and presented at the annual meeting of the Corporation and Board of Directors.
